These terms govern the use of this website and of the Foxbee agent application, both operated by Foxbee OÜ.

In these terms, "we", "us" and "our" mean Foxbee OÜ. "You" means the person or organisation using the website or the application.

Scope

Foxbee agent is internal tooling operated by Foxbee for its own purposes and for the Google Workspace accounts that Foxbee and its operators control. It is not offered to the public, it is not sold, and no right to use it is granted by these terms or by the existence of this website.

If you have not been given access to Foxbee agent by Foxbee, only the sections covering this website apply to you.

Acceptable use

Where access has been granted, you may use Foxbee agent only for the purpose for which it was given, and only with accounts you are authorised to use. You must not:

• use it to access data belonging to any account you have not been authorised to use;
• use it in breach of Google's terms, including the Google API Services User Data Policy;
• attempt to circumvent its access controls, or to extract credentials from it;
• use it for anything unlawful, or in a way that would place Foxbee in breach of any obligation.

Authorisation and revocation

Access to Google user data depends on an authorisation granted through Google's OAuth consent screen by the holder of the account concerned. That authorisation may be withdrawn at any time from the Google account permissions page, and we may withdraw access to Foxbee agent at any time and without notice.

Term, suspension and termination

These terms apply from the moment you use this website or the application, and continue until access ends.

We may suspend or withdraw access to Foxbee agent at any time, with or without notice, including where we believe it is being misused, where it threatens the security or integrity of our systems, or where we are required to do so. Where circumstances allow, we will give notice first.

You may stop using the application at any time, and revoke its access to any Google account from the Google account permissions page.

Termination does not affect any right or obligation that has already accrued. The sections covering your data, intellectual property, liability and governing law survive it.

Your data

Our handling of personal data and of Google user data is set out in the privacy policy, which forms part of these terms.

Availability

The website and the application are provided on an "as is" and "as available" basis. We do not warrant that either will be uninterrupted, timely, secure or free of error, and we may change, suspend or discontinue either at any time.

Foxbee agent depends on Google APIs and on third-party language model providers. Interruption, change or withdrawal of those services is outside our control.

Automated output

Foxbee agent acts on instructions and produces output generated by language models. That output may be inaccurate or incomplete, and actions it takes on an account — including sending mail, editing documents and changing calendars — may be wrong. Anyone operating the application is responsible for supervising it and for the consequences of the actions it performs on their accounts.

Intellectual property

Foxbee™, be smart™, foxb™, the Foxbee name and the Foxbee logo, together with the content of this website, belong to Foxbee OÜ. Nothing here grants any licence to use them.

Liability

Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.

Subject to that, we are not liable for any indirect or consequential loss, nor for loss of profit, revenue, business, goodwill or data, arising from use of the website or the application. Our total liability arising out of or in connection with these terms is limited to 100 euros.

Indemnity

If you have been granted access to Foxbee agent, you agree to indemnify us against any claim, loss or expense arising from your use of it in breach of these terms, from your use of accounts you were not authorised to use, or from your breach of any law. This does not apply to anything caused by our own act or omission.

Force majeure

We are not liable for any failure or delay caused by something beyond our reasonable control, including failure of internet or hosting infrastructure, interruption or withdrawal of Google APIs or of third-party language model providers, power failure, industrial action, act of government, or natural disaster.

Assignment

You may not transfer your rights or obligations under these terms without our written consent. We may transfer ours to any successor to our business or to an affiliate, on notice.

Notices

Notices to us should be sent to contact@foxbee.com. Notices to you may be sent to the email address associated with the account through which access was granted, and are treated as received on the day they are sent.

General

If any provision of these terms is found to be unenforceable, the rest continues to apply, and that provision is treated as modified to the least extent needed to make it enforceable.

A delay or failure to enforce any provision is not a waiver of it.

These terms, together with the privacy policy, are the entire agreement between us on their subject matter, and replace anything said or written beforehand.

Nothing in these terms creates a partnership, joint venture, agency or employment relationship between us, and no third party has any right to enforce them.

Changes

We may amend these terms. The current version is always the one published on this page, with the date shown above. Continued use after a change constitutes acceptance of it.

Governing law

These terms are governed by the law of Estonia. The courts of Estonia have exclusive jurisdiction over any dispute arising from them, save that where you are a consumer resident in the European Union, you keep the benefit of any mandatory protection of the law of your country of residence.
